AGREEMENT
This Agreement is entered into as of this ____ day of ____________, 20__, by and between QUICK BROTHERS ANIMATION, INC., a California corporation with offices at c/o Jesse Quick, 651 Franklin Street, Brooklyn, NY 11233 (hereinafter referred to as “Producer”), and Jeff Sohn (hereinafter referred to as “Talent”).
1. Scope of Services
Talent agrees to compose, orchestrate, and record approximately 6.5 minutes of background music (the “Services”) for the animation project titled “___” (the “Animation”). Talent shall deliver the Services in accordance with the production schedule set forth herein and in Schedule A attached hereto.
2. Production Schedule
- Scratch track submission: within 30 days of execution of this Agreement.
- Orchestration delivery: within 45 days of execution.
- Final recording delivery: within 60 days of execution.
Producer shall have the sole discretion to approve each delivery. If approval is not given within 5 business days of receipt, the delivery shall be deemed approved.
3. Compensation
The total fee for the Services is $20,000, payable as follows:
- $5,000 upon execution of this Agreement;
- $5,000 upon approval of the scratch track;
- $5,000 upon approval of the orchestration; and
- $5,000 upon delivery of the final track.
4. Rights and Ownership
As between Producer and Talent, all rights, titles, and interests in the Services, including any music, recordings, arrangements, and other work product, shall be owned exclusively by Producer. Talent acknowledges that all such work shall be considered a work made for hire under U.S. copyright law, or, if not, is hereby assigned to the Producer. Talent waives any claim or rights to the work or any derivative rights therefrom.
5. Moral Rights and Credit
Producer shall credit Talent in the onscreen credits for the Animation. Talent grants Producer the right to use Talent’s name, likeness, and biographical information for publicity, merchandising, and promotional purposes related to the Program.
6. Merchandising Rights and Likeness
Producer shall NOT acquire any merchandising rights to Talent’s name, likeness, or image, unless separately agreed upon in writing. Talent shall retain no rights in the Animation’s merchandise, branding, or related promotional materials, except for the credit rights specified above.
7. Confidentiality
Talent agrees to treat all confidential information received in connection with this Agreement as strictly confidential and shall not disclose such information to any third party except as required by law or court order. Talent shall have a 30-day cure period for any breach.
8. Legal Protections and Injunctions
Producer shall have the right to seek injunctive relief against Talent for breaches of this Agreement. Conversely, Talent shall not seek or be entitled to injunctive relief against Producer.
9. Term and Termination
This Agreement shall commence on the date hereof and continue until completion of the Services, unless terminated earlier for cause or without cause by either party with 30 days’ prior written notice. Upon termination without cause, Talent shall be paid full compensation for services performed prior to termination.
10. Applicable Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of California. Any disputes arising hereunder shall be resolved exclusively in Los Angeles County courts.
11. Miscellaneous
This Agreement constitutes the entire understanding between the parties and supersedes prior agreements. It may only be amended in writing signed by both parties. Notices shall be sent in writing to the addresses provided above.
