Invent a product. This could be the product (can be an app) you have already submitted in your first week's discussion or a new one. The product is one you will market for profit. Assume your product has been developed and created and is ready for distribution.
Draft a contract for the sale of the product to a retail establishment. The retailer could be a brick and mortar or online store, restaurant, hardware store, etc.
The contract should contain the necessary elements of a contract pursuant to the UCC. This includes specifics on terms such as description, price, quantity, shipping or delivery, payments, etc. You may use other sources beyond your textbook. Do not use terms you do not understand. Do not just "copy and paste" a contract you find on the internet.
Make this contract yours. (Google sample contracts for the sale of goods for various sample templates.) Also you are required to add at least seven (7) "boilerplate" contract provisions, along with an arbitration and attorneys fees clause. Your contract is worth 100 points; up to 50 points will be given for professionalism, which includes title of the document on top and centered, formatting, alignment of paragraphs, spacing, spelling, and grammar (no unnecessary underlines and deletion of any instructions and items in parentheses); and up to 50 points on how well you incorporated all the necessary elements of a contract and followed the instructions, including adding the 7 boilerplate provisions and an arbitration and attorneys fees clause. It is 25% of your grade.

Contract for Sale of Innovative App "GreenHealth Tracker"
This Contract for the Sale of Goods ("Agreement") is entered into on this 15th day of October, 2024, by and between TechSolutions Inc., ("Seller") and Wellness Retailers LLC ("Buyer").
1. Product Description
The Seller agrees to sell and the Buyer agrees to purchase the software application known as "GreenHealth Tracker," a health and wellness mobile application designed to assist users in monitoring their diet, exercise, sleep, and medication schedules. The product is fully developed, tested, and ready for distribution to end-users.
2. Quantity and Price
The total quantity of licenses sold under this agreement shall be 1,000 units. The unit price shall be $15 per license, with a total contract price of $15,000.
3. Delivery and Shipping
The Seller shall deliver the digital licenses via electronic download within five (5) business days of the effective date of this contract. Delivery shall be completed electronically to the email address designated by the Buyer.
4. Payment Terms
The Buyer shall pay the total amount of $15,000 within thirty (30) days of receipt of invoice. Payment shall be made via electronic transfer to the Seller's designated bank account.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the Uniform Commercial Code (UCC) applicable in the State of California.

7. Dispute Resolution
